Terms and Conditions for MS International Projects
These Terms and Conditions (“Agreement”) are entered into between MS International Projects and the individual or entity accessing or using our services. By accessing or using the services provided by MS International Projects, you agree to comply with and be bound by the following terms. If you do not agree to these terms, please refrain from using our services.
1. Scope of Services
MS International Projects offers a range of services, including but not limited to:
Estimation and Cost Services
Contracts Services
Buyout Services
Permits Services
Scheduling Services
Project Engineering Services
Accounting and Payapps Services
Interior Design
FF&E (Furniture, Fixtures & Equipment)
The specific services provided to you will be outlined in a separate agreement or proposal and may vary depending on the project.
2. Client Responsibilities
As a Client, you agree to:
Provide accurate and complete information necessary for the completion of the services.
Cooperate with us and provide any necessary materials, approvals, or access required to perform the services.
Ensure that you have the legal right to use any content or materials you provide.
Make timely payments for services rendered as specified in any agreement or invoice.
Notify us promptly of any changes in your project requirements.
3. Payment Terms
All fees for services will be outlined in a separate proposal or agreement.
Payment is due according to the terms specified in the invoice or agreement. Payments not made by the due date may result in delays or suspension of services.
Late payments may incur additional charges as specified in the agreement.
MS International Projects reserves the right to modify payment terms with prior notice.
4. Confidentiality and Privacy
We are committed to maintaining the confidentiality of any proprietary or confidential information shared with us during the course of providing our services.
We will not disclose your personal information to third parties without your consent, except as required by law or to fulfill the obligations of our services.
Your information is stored in compliance with applicable data protection regulations.
5. Intellectual Property
All materials, designs, and work created by MS International Projects during the course of our engagement are our intellectual property unless otherwise agreed.
The Client is granted a limited license to use the deliverables solely for the purpose for which they were provided. Any use beyond this scope requires prior written consent.
You retain ownership of any materials you provide to us, but by providing them, you grant us the necessary rights to use, modify, and display the materials in connection with providing our services.
6. Limitation of Liability
MS International Projects will not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services or the inability to access or use the deliverables.
Our total liability to you, for any claims, will not exceed the total amount paid by you for the services provided under the agreement.
7. Indemnification
You agree to indemnify and hold harmless MS International Projects, its affiliates, employees, and contractors from any claims, losses, or damages (including legal fees) arising from your violation of this Agreement, your use of the services, or any infringement of intellectual property or rights of third parties.
8. Termination of Services
Either party may terminate the agreement by providing written notice if there is a material breach of the terms that remains uncured after 30 days.
In the event of termination, you will remain responsible for payment for services rendered up to the date of termination.
MS International Projects reserves the right to suspend or terminate services if payment is not received or if the Client violates the terms of this Agreement.
9. Changes to Terms and Conditions
MS International Projects reserves the right to modify or update these Terms and Conditions at any time. Any changes will be posted on this page.
By continuing to use our services after changes are posted, you agree to be bound by the updated Terms and Conditions.
10. Dispute Resolution
Any disputes arising out of or related to these Terms and Conditions will be resolved through binding arbitration in accordance with the laws of the United States.
Both parties agree to attempt to resolve disputes through good faith negotiation before proceeding to arbitration or litigation.
11. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
